1Introduction and Acceptance

These Terms and Conditions (the “Terms”) govern your access to and use of the Travilo Technologies website, software, platforms and related services (the “Services”). By registering for, accessing or using the Services, you agree to be bound by these Terms. If you are accepting on behalf of a company or other organisation, you confirm that you have authority to bind it.

2Definitions

“Company”, “we”, “us” and “our” mean Travilo Technologies. “Client” or “you” means the business or person that purchases or uses the Services. “Users” means the Client’s employees, agents, sub-partners and customers who use the Services. “Suppliers” means third parties such as airlines, hotels, content aggregators and payment providers. “Platform” means the software, portals, APIs and related documentation we provide.

3The Services

We provide an online travel booking platform and related tools, as described in your order, plan or written agreement. We may update, improve or discontinue features from time to time. Where a change materially reduces functionality you have paid for, we will give reasonable notice.

4Licence

Subject to these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable licence to use the Platform for your own business. You may not copy, resell, sublicense, reverse engineer or decompile the Platform, or use it to build a competing product, unless a written agreement with us expressly permits it.

5Eligibility and Accounts

You must be legally able to enter into a contract and, where applicable, hold the licences and registrations required to sell travel services. You must provide accurate information and keep it up to date.

You are responsible for all activity under your accounts and for keeping credentials secure. We may require identity or business verification, and we may reject, restrict or suspend accounts at our reasonable discretion.

6Fees, Payment and Taxes

Fees are set out in your order or plan. Unless stated otherwise, fees are payable in advance, are non-cancellable and are exclusive of taxes, duties and bank charges.

Late payment may result in interest at [rate], suspension of the Services or termination. We may change our prices with [30] days’ written notice, and any change takes effect from your next renewal period.

7Refunds

Because of the nature of software and digital services, fees are generally non-refundable once the Services have been delivered or activated. Exceptions may apply where we failed to deliver the Services, or a material defect cannot be resolved within a reasonable time, provided the issue is reported within [7] days. Refund requests are assessed case by case.

8Third-Party Suppliers and Content

The Services rely on third-party suppliers whose availability, prices, rules and content are outside our control. We do not guarantee supplier availability, fare accuracy or booking outcomes, and we are not responsible for the acts, omissions, outages or policies of any supplier. Supplier terms apply to bookings made through the Platform.

9Client Responsibilities

You are responsible for your own pricing, markups, customer terms, refunds to your customers, taxes, licences and legal compliance. You must publish your own terms and privacy notice to your customers where required by law, and you are responsible for the accuracy of traveller details entered through your accounts.

10Payments, Funds and Credit

Where the Services allow balances, deposits, holds or credit, these are administered under the terms shown at the time and are not bank deposits.

We may hold, set off or withhold funds where reasonably required, for example for unpaid amounts, disputed transactions, fraud checks or supplier claims. Credit, where offered, is at our discretion and may be limited, suspended or withdrawn.

11Acceptable Use

You must not use the Services for unlawful, fraudulent or abusive purposes, including scraping, excessive automated requests, security testing without permission, or any attempt to interfere with the Platform. We may limit, block or suspend access to protect the Services, other users or our suppliers.

12Data Protection and Privacy

Each party will comply with the data protection laws that apply to it. For personal data you process through the Services, you are the data controller and we act as your processor, under our Data Processing Addendum [link].

We apply reasonable technical and organisational security measures and will notify you of a confirmed personal data breach without undue delay. Our Privacy Policy describes how we handle our own data.

13Intellectual Property

We and our licensors retain all rights in the Platform, documentation and branding. You retain your rights in your own data and content, and you grant us a licence to use them only as needed to provide the Services. Feedback you provide may be used by us without obligation to you.

14Confidentiality

Each party will keep the other’s non-public information confidential, use it only for the purposes of the agreement, and protect it with reasonable care. This obligation does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

15Support and Availability

We provide support through [channels] during [hours]. We aim for high availability but do not guarantee uninterrupted or error-free service. Scheduled maintenance will be announced where practicable. Support does not cover custom development, third-party software, or hosting you control, unless agreed in writing.

16Warranties and Disclaimer

We warrant that we will provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” and “as available”, and we disclaim all other warranties to the extent permitted by law, including fitness for a particular purpose and non-infringement.

17Limitation of Liability

To the extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill. Our total liability for all claims in any [12]-month period is limited to the fees you paid in that period. Nothing in these Terms limits any liability that cannot be limited by law.

18Indemnity

You will indemnify us against third-party claims and related costs arising from your breach of these Terms, your content or dealings with your customers, or your violation of law or third-party rights.

19Term, Suspension and Termination

These Terms continue for the term stated in your order, or until terminated. Either party may terminate for material breach that is not cured within [30] days of written notice.

We may suspend access immediately for non-payment, security risk, legal requirement or serious misuse. On termination, your access ends, unpaid fees become due, and we will make your data available for export for [30] days before deletion, subject to applicable law.

20Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, supplier or network failures, government action, or war.

21Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by [email / in-platform notice] with [30] days’ notice. Continued use of the Services after the effective date means you accept the changes.

22Governing Law and Disputes

These Terms are governed by the laws of [jurisdiction]. The parties will first try to resolve any dispute in good faith. Unresolved disputes will be settled by [the courts of / arbitration in] [location], except that either party may seek urgent relief to protect intellectual property or confidential information.

23General

These Terms, together with your order and any linked policies, are the entire agreement between us on their subject. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent. Failure to enforce a right is not a waiver. Notices may be given by email or through the Platform.
